MSI Wealth Management Fund LLC (the “Company” or the “Fund”) was formed with the purpose of acquiring and managing residential real estate assets. The Company will seek to acquire and manage high quality real estate assets with the intention of providing participating investors with real estate focused investment opportunities that combine income, principal investment growth, and elements of capital preservation.

The Fund is managed by Millennium Strategic Investments LLC (“MSI” or the “Fund Manager”), a Virginia company formed in 2007 that specializes in real estate acquisition and management. MWMF is also managed by two highly experienced real estate investing professionals and a board of advisors with a total of 63 years of experience in the Washington D.C. Metro real estate market.

The Fund is exclusively focused on creating and maintaining investor wealth in the Washington D.C. metro region through four primary investment strategies: wholesaling, rehabbing, cash flowing on properties retained for rental income and hard money lending. In the long term, MWMF plans to add residential land development projects along with expansion into commercial real estate ventures to its repertoire.

The collective experience of the Fund’s management team provides its investors with an advantage over investing individually. This is primarily due to the Fund’s ability to quickly and efficiently address any real estate acquisition and management issues. The Fund is also able to invest with aggregated capital, which greatly enhances its negotiation leverage because it can quickly close on acquisition deals without the typical financing delays encountered with institutional financing options. By investing in a Fund with an experienced and specialized management team, investors are freed from the complexities and time required for individual property ownership.

Summary of Operations

MSI Wealth Management Fund LLC (the “Company” or the “Fund”) will predominantly focus on short term real estate investment opportunities with the majority of capital from the Offering. The Fund is managed by Millennium Strategic Investments LLC (“MSI” or the “Fund Manager”), a Virginia company formed in 2007 that specializes in real estate asset acquisition and management. MSI is managed by two highly experienced real estate and finance professionals along with a board of advisors with a combined 63 years of experience in the Washington D.C. Metro real estate market.

Once the Fund is fully capitalized, it will commence principal acquisition and management operations. The Fund has developed a specific methodology for sourcing, vetting, acquiring, and disposing of real estate assets.

In the opinion of the Fund Manager, the real estate market in the Washington D.C. Metro region provides a compelling opportunity for the purchase, management, and disposition of undervalued and distressed residential real estate assets. The Fund Manager’s construction and distressed real estate mitigation background provides it the capability to accurately evaluate certain acquisition opportunities with the intent to rehabilitate the asset, engage in a reposition and lease-up, and then ultimately sell the improved asset for a net gain.

There continues to be a high level of demand for real estate investment opportunities in the Washington D.C. Metro region. However, investors tend to make two costly mistakes. First, they overestimate the value of a property. And second, they underestimate the time and cost to finance, renovate, and sell the property.

This isn’t a concern for MWMF because its Management team has 63 years of cumulative hands on experience in the Washington D.C. Metro region, along with a network of professionals that specialize in rehabbing in this region. This is extremely important and significant as real estate investment opportunities are identified for investors through the Fund. Investors that understand the long-term growth opportunity and appreciates the value of a seasoned real estate professionals with local market expertise will be successful investing with MWMF.


The Washington D.C. real estate market is one of the five metro areas that is expected to have higher-than-normal home sales activity in 2018, which bodes well for investors looking to capitalize on this continuing growth trend.

According to the recent MRIS Housing Market Update, the median home sales price of $420,050 in 2017 represents a 2.4% increase compared to 2016.

Some other key statistics that point to the positive trends in the D.C. Metro area include new listing activity that was up 2.1% in 2017 to 74,659. Closed sales across the region were up 4.1% to 55,700. The median days on market also had a positive trend in 2017 dropping to 16 days from 21 days in 2016.

In 2017, single family detached home prices increased 5.2% to $515,285 which is currently above the five-year average of $396,380 and the 10-year average of $366,990. Falls Church City continues to be the most expensive location in the region with a median sales price of $725,000 which is up 6.8% from 2016. Prince George’s County is still the most affordable area in the region with a sales price of $280,000 representing a 5.7% increase over the previous year.

A few other interesting trends that will continue to positively impact the D.C. Metro area include low mortgage rates will continue to move buyers into the market, while increasing home values will move sellers to cash out on their equity.

Overall, the Washington D.C. Metro area will continue to remain a hot, in-demand real estate market for home owners, job-seekers as well as investors.

Real Estate Showcase Projects

The real estate projects that will be featured in the Fund will have certain key attributes that help influence the profit margins for the project. Typically, the projects will be homes that require some repairs and improvements that will allow the Fund to get the best possible resale price for that home. The property location is also key. Properties are typically conveniently located near major metro stops, shopping and restaurants.

The three projects featured below will give you an idea of the project diversity that will be represented in the Fund.

Single Family Home Rehab (Alexandria, VA)

This 1900's single family home located in the heart of Old Town received a complete renovation. After the impressive transformation, this home now features a bright main level with an open welcoming floor plan. The first level features the living room, dining room, half bath and a kitchen with stainless appliances, granite counters & breakfast bar. The second level features two bedrooms with ample closet space and a full bath in each room. The outside of this home contains a private brick patio with a large parking area behind the home. Townhouse Rehab (Washington, D.C.)

Serving as the Chief Group Executive of Millennium Strategic Investments is Marcel Clarke. Marcel holds a BS in Business Administration from The University of Maryland and a Master of Arts degree in Organizational Communications from Bowie State University. Prior to forming Millennium Strategic Investments in May 2007 with his partner Shannon Young, Marcel served as Director of Training Services with New Pathways Inc., an organization that is dedicated to improving the lives of “at risk” youth in Maryland. He also served four years as the Director of Quality Improvement with Catholic Charities, USA, a leading worldwide human services organization.

In addition to his Executive experience, Marcel has a passion for small business startups and acquisitions. In 2001, he founded Colonial Commercial Cleaning, a service that fulfills the commercial cleaning needs of banks, medical facilities, office buildings and auto dealerships in Northern Virginia. In 2005, he acquired The Maids, a leading residential cleaning company in the United States and Canada.

As the Chief Group Executive for Millennium Strategic Investments, Marcel’s vision is to help bring clarity to investors who are interested in getting involved in the profitable Real estate market in the Metropolitan Washington DC and surrounding areas. Marcel’s passion for real estate investing can be traced back to his undergraduate years at the University of Maryland when he purchased his first investment property. He turned around and rented a few rooms to fellow students and lived rent-free for all four years of college. Two decades later, Marcel has completed countless real estate deals and built up his own real estate empire with dozens of properties.

Marcel is an avid investor, landlord and property manager with numerous contacts in the real estate business. Marcel is committed to identifying profitable investment opportunities for his clients through wholesaling, renovations, property cash flow scenarios with the ultimate goal of generating enormous wealth through real estate investments for them.

Shannon Young

Shannon Young

Shannon Young also serves as a Group Executive of Millennium Strategic Investments. Shannon earned his AS in Information Technology from Midland Technical College. Prior to forming Millennium Strategic Investments with his partner Marcel Clarke in May 2007.

Positions that Shannon held prior to founding Millennium Strategic Investments includes working as a Pre-Sales Architect for Hewlett-Packard. In this role, he was responsible for nurturing multi-million sales and managing the accounts of various DOD clients. Additionally, he was awarded one of the largest contracts as a Project Manager by the Department of State. As an entrepreneur, Shannon founded Y-Tech Solutions LLC in 2010. Y-Tech offers IT support and technology-based solutions to local businesses, as well as local, state and federal government offices throughout the Metro Washington DC area.

In his position as Group Executive at Millennium Strategic Investments, Shannon serves as a spokesperson and primary point of client contact. It is his goal to minimize risk and maximize the potential for all of Millennium Strategic Investments’ clients.

The Company has established a Board of Advisors, which includes highly qualified business and industry professionals. The Board of Advisors will assist the Management team in making appropriate decisions and taking effective action; however, the Board of Advisors will not be responsible for Management decisions and has no legal or fiduciary responsibility to the Company.

Hedy Nelson serves as the General Counsel of Millennium Strategic Investments.

Hedy is a graduate of The George Washington University Law School and maintains a law practice and the Witz Realty, LLC real estate brokerage firm in Maryland.

By combining her legal experience with her knowledge of real estate transactions, Hedy brings a unique perspective and skill set to MSI clients. Her law and real estate brokerage licenses permit her to offer clients a wide range of services.

Hedy assists her clients with transactions including all stages of real estate investment — from identifying properties, placing offers, and negotiating purchase contracts, through the closing process, as well as leasing and selling properties — entity formations, internal management matters, government filings, contract preparation, purchases and sales of businesses, commercial loan transactions, and trademark matters. Her goal is help clients achieve their financial objectives by drawing on her vast legal and real estate experience.

John Brand serves as the Property Manager of Millennium Strategic Investments.

John has more than 15 years of experience in the Metro Washington, DC market. Since 1999, John has become a highly successful, top producer in real estate, ranking in the top 10% since 2004.

In 2005, John generated more than $80 million in sales across 70 homes. This made him the #1 producing agent in his Reston office and #3 company-wide.

John has a deep understanding of what homeowners want to buy and where they want to buy. He is able to quickly evaluate homes for purchases and assess their potential sale value. John is dedicated to his client’s total satisfaction and his goal is to maximize the return on every property.

John is also a real estate agent at Coldwell Banker and Director and Principal of InsiderPM.

MSI Senior Accountant

Henry J. Swint Jr. is the Senior Accountant for Millennium Strategic Investments.

Henry is a Finance and Accounting professional with 20 + years of experience in Corporate Finance, Banking, Risk Management, Tax preparation, and Personal Financial Planning.

Henry holds a Master of Business Administration (MBA) degree with a concentration in Finance as well as a variety of industry designations and certifications.

Henry brings extensive real estate experience in buying and selling multiple properties on a monthly basis. In his role with Millennium, Henry’s goal is to determine the risks and mitigate them for our clients.

Terms of the offering


Minimum Offering: $500,000

Minimum Subscription: $25,000 (25 Units)

Maximum Subscription: $500,000 (500 Units)

MSI Wealth Management Fund LLC (the “Company” or the “Fund” ), a Virginia Company, is offering a minimum of 250 and a maximum of 5000 Class A Membership Units for $1,000 per unit.

The Class A Membership Units sold through this Offering shall participate in distributions of net profit from operations on the following summarized schedule and terms and subject to the specific terms of the Operating Agreement; (i) a distribution to the Class A Members to equal an annual eight percent (8%) non-compounding cumulative Preferred Return Distribution (the “Preferred Return”) distributed to the Class A Members bi-annually and calculated based on the Member’s invested capital contributions and; (ii) a distribution to the Class A Members on a pari passu basis equaling seventy-five percent (75%) of any additional net profit from operations with the Manager participating in twenty-five percent (25%) of distributable net profit.

Net distributable profit from the winding up of Fund investment activities and subsequent liquidation of real estate assets shall be distributed on the following schedule and terms; (i) one hundred percent (100%) of distributable net profit to the Class A Members until such time as any accrued Preferred Return is paid and; (ii) one hundred percent (100%) of distributable net profit to the Class A Members until such time as invested capital contributions have been repaid and; (iii) remaining net profit will be distributed seventy-five percent (75%) to the Members and twenty-five percent (25%) to the Manager.
